(Trade and Companies Register) of Nanterre under number 793277013, whose registered office is located at 95 avenue Marcel Dassault 92100 Boulogne Billancourt<\/p><h4>General terms of sale for the mixdata subscription service<\/h4><h4><span>1<\/span>Purpose<\/h4><p>The purpose of these Terms of sale is to define the terms under which the company MIXDATA offers for sale, and sells by subscription, access to a number of services available on the website http : \/\/www .mixdata.com (hereinafter &#8220;the Site&#8221;) and grants a personal licence to use the said services for the duration of the subscription.<\/p><p>The Terms of sale may where appropriate be supplemented by specific conditions agreed between MIXDATA and the Subscriber in the order form. In the event of a conflict, the latter shall prevail. Signature of the order form entails the express acceptance of these Terms of sale and of the Terms of use of the Site, available at the address www.mixdata.com. The order form and the Terms of sale cancel and replace all previous documents signed between MIXDATA and the Subscriber. The fact that MIXDATA does not, at a given moment, rely on any of the terms of these Terms of sale may not be interpreted as a waiver of the right to rely subsequently on any of the terms of the said Terms of sale.<\/p><h4><span>2<\/span>Definitions<\/h4><p>In these Terms of sale, the words or expressions beginning with a capital letter shall have the following meaning:<\/p><ul><li>Subscriber means a user of the Site who has taken out one of the subscription offers proposed by MIXDATA.<\/li><li>Subscription means all of the contractual documentation concluded between the Subscriber and MIXDATA, under which the Subscriber has taken out Services offered by MIXDATA. The Subscription includes in particular the order form, the Terms of use, the Terms of sale and the subsequent modifications of the Ordered Services<\/li><li>Access Codes means the login identifier of the Subscriber or the Authorised Person and their connection password provided by MIXDATA upon registration, allowing them to identify themselves and connect to the various subscribed services provided on the Site.<\/li><li>Terms of use means the terms of use of the Site available online<\/li><\/ul><p>Information means all of the information, data and publications accessible on the Site by means of the Service.<\/p><ul><li>Service or Services means all of the business intelligence, Information research, monitoring and company-list-building services, and access to and downloading of the individual records of the companies selected by the Subscriber, offered by MIXDATA<\/li><li>Ordered Service(s) means all of the Services subscribed to by the Subscriber<\/li><\/ul><h4><span>3<\/span>Validation and activation of subscriptions<\/h4><p>The Ordered Services will be taken into account upon receipt of the order form, in paper form, signed by the Subscriber. The activation of the Ordered Services is carried out as soon as possible by MIXDATA from the receipt and acceptance of the order by MIXDATA.<\/p><p>The acceptance and activation of the Ordered Services by electronic means takes place upon receipt by the Subscriber by e-mail of their Access Codes, whatever the method of subscription and payment, except for specific conditions mentioned on the order form. MIXDATA reserves the right to suspend and\/or refuse any order from a Subscriber with whom MIXDATA is in dispute, on any grounds whatsoever, without the latter being able to claim any compensation.<\/p><h4><span>4<\/span>Right of withdrawal period<\/h4><p>As this is a contract concluded between two professionals, the Subscriber does not have a right of withdrawal period.<\/p><h4><span>5<\/span>Delivery<\/h4><p>Delivery is deemed to be made on the date the Ordered Services are made available to the Subscriber by e-mail, at the electronic address indicated by the Subscriber at the time of the order. MIXDATA cannot be held liable for delivery delays attributable to a third party.<\/p><h4><span>6<\/span>Complaints<\/h4><p>If one or more Services delivered to the Subscriber do not conform to the Ordered Services, the Subscriber must submit their complaints in writing within fifteen (15) days. Once this period has elapsed, no complaint will be considered by MIXDATA, which the Subscriber acknowledges and accepts.<\/p><h4><span>7<\/span>Duration of the Subscription<\/h4><p>The Subscription is concluded for a fixed term of twelve (12) months, twenty-four (24) months or thirty-six (36) months depending on the option chosen, and is renewable by tacit renewal.<\/p><h4><span>8<\/span>Prices and terms of payment<\/h4><p>The prices in force are those communicated to the Subscriber on the day the Ordered Services are registered, MIXDATA reserving the right to modify them at any time. They are stated in euros, inclusive of all taxes and the contribution to processing costs. Orders are payable in euros.<\/p><p>Current promotions may not be combined with one another. They may not be exchanged for their monetary value or refunded in part or in full. Once the stated period has passed, the discount will be permanently lost. Payment for any order is made in cash and without discount by bank cheque or bank transfer.<\/p><p>MIXDATA may modify the price of the Ordered Services at any time. In this case, MIXDATA undertakes to inform the Subscriber at least thirty (30) days before this modification takes effect. The Subscriber may then terminate their contract by registered letter with acknowledgement of receipt addressed to MIXDATA, subject to 30 days&#8217; notice.<\/p><h4><span>9<\/span>Modification and Termination of the Ordered Services<\/h4><ul><li>Modification of the Ordered Services<\/li><\/ul><p>The Subscriber may request by electronic means a modification of all or part of the Ordered Services under their Subscription. This modification will take effect from its acceptance by MIXDATA, formalised by the Subscriber&#8217;s receipt of an email confirming the modification of the Ordered Services.<\/p><ul><li>Termination of the Subscription<\/li><\/ul><p>The Subscription is taken out by the Subscriber for a fixed term. It may not be terminated by the Subscriber or MIXDATA before its term.<\/p><p>Upon expiry of its term, the Subscription will renew by tacit renewal for successive periods of twelve (12) months, twenty-four (24) months or thirty-six (36) months depending on the option chosen, unless terminated by either party by registered letter with acknowledgement of receipt at the latest two (2) months before the expiry of the current contract.<\/p><p>The Subscriber or MIXDATA may terminate the Subscription in the event of a serious breach by the other party of its obligations, 15 days after a formal notice to perform, served by registered letter with acknowledgement of receipt requested, has remained without effect.<\/p><p>Neither the Subscriber nor MIXDATA shall be held liable to the other for the non-performance or a delay in the performance of the subscription contract resulting from the occurrence of a case of force majeure, as recognised by the case law of the French courts.<\/p><p>The case of force majeure suspends the obligations arising from the subscription contract for its entire duration. However, if the case of force majeure lasts for more than 15 consecutive days, the subscription may be terminated without notice by the non-defaulting party by registered letter with acknowledgement of receipt.<\/p><h4><span>10<\/span>Intellectual property<\/h4><p>MIXDATA is the exclusive owner of all intellectual property rights relating to the structure of the Site and the Service, their presentation, the elements that make them up, and to the content of the Site, except where otherwise indicated.<\/p><p>These Terms of sale do not entail the transfer of any intellectual property right to the Subscriber, either in the structure or in the content of the Site.<\/p><p>All elements such as logos, trade marks, and in particular the MIXDATA trade mark, and other distinctive signs affixed to the Site are and remain the entire and exclusive property of MIXDATA. Accordingly, the Subscriber undertakes in particular not to use the Services and the Information in a way that infringes MIXDATA&#8217;s rights. The Subscriber undertakes not to use the Site, the Service or the Information in an unfair or parasitic manner and to ensure that such use does not constitute an infringement.<\/p><p>The databases appearing on the MIXDATA site are protected by the provisions of Articles L.341-1 et seq. of the French Intellectual Property Code. The trade marks, whether word or figurative such as logos, shown and\/or reproduced on the Site or in connection with the Service remain the property of their respective owners and are reproduced for information purposes only.<\/p><h4><span>11<\/span>Commission Nationale Informatique et Libert\u00e9s (CNIL, the French data protection authority):<\/h4><p>Upon registration, the Subscriber undertakes to provide true, accurate and complete information and to keep it up to date without delay. The information collected is processed by Mixdata for customer-management purposes. It is kept for a period not exceeding the legal period necessary for the purposes for which it is processed, and is intended for Mixdata&#8217;s sales department. In accordance with the requirements of EU Regulation 2016\/679 (&#8220;GDPR&#8221;), the processing concerning Mixdata&#8217;s Subscribers is entered in the company&#8217;s register of processing activities. Subscribers who have placed an order with MIXDATA have a right of access to, rectification or erasure of the data concerning them, as well as a right to portability and to lodge a complaint with a supervisory authority. To exercise their right of access or to have the data concerning them rectified, the Subscriber contacts Mixdata at 95, rue Marcel Dassault 92100 Boulogne-Billancourt, or by email at opposition@mixdata.com\u200b<\/p><h4><span>12<\/span>Governing law and jurisdiction<\/h4><p>The Subscription and these Terms of sale are subject to French law. Any difference or dispute relating to the validity and performance of the Subscription or of these Terms of sale, as well as to the validity, performance or term of the order, shall be submitted to the exclusive jurisdiction of the Commercial Court of Nanterre, including in the event of summary proceedings, a third-party claim, or multiple defendants.<\/p><h4>General terms of sale for a licence to use the information supplied by mixdata<\/h4><h4><span>1<\/span>Purpose<\/h4><p>The purpose of these Terms of sale is to define the terms under which the company MIXDATA offers for sale a number of items of Information and grants a personal licence to use the said Information. The fact that MIXDATA does not, at a given moment, rely on any of the terms of these Terms of sale may not be interpreted as a waiver of the right to rely subsequently on any of the terms of the said Terms of sale.<\/p><h4><span>2<\/span>Definitions<\/h4><p>In these Terms of sale, the words or expressions beginning with a capital letter shall have the following meaning:<\/p><ul><li>Customer means the customer company that has ordered Information produced by MIXDATA.<\/li><li>Information means all of the information on companies, websites and social networks, as well as all of the data and publications produced by MIXDATA.<\/li><\/ul><h4><span>3<\/span>Validation and production of the information<\/h4><p>The Ordered Information will be taken into account upon receipt of the order form, in paper form, signed by the Customer. The production of the Ordered Information is carried out as soon as possible by MIXDATA from the receipt and acceptance of the order by MIXDATA. MIXDATA reserves the right to refuse any order from a Customer with whom MIXDATA is in dispute, on any grounds whatsoever, without the latter being able to claim any compensation.<\/p><h4><span>4<\/span>Right of withdrawal period<\/h4><p>As this is a contract concluded between two professionals, the Customer does not have a right of withdrawal period.<\/p><h4><span>5<\/span>Delivery<\/h4><p>Delivery is deemed to be made on the date the Information ordered by the Subscriber is made available on a secure server, the access codes to which will have been sent by e-mail, at the electronic address indicated by the Customer at the time of the order. MIXDATA cannot be held liable for delivery delays attributable to a third party.<\/p><h4><span>6<\/span>Complaints<\/h4><p>If the Information delivered to the Customer does not conform to the order, the Customer must submit their complaints in writing within fifteen (15) days. These Terms of sale do not entail the transfer of any intellectual property right to the Customer. The Information produced by MIXDATA is protected by the provisions of Articles L.341-1 et seq. of the French Intellectual Property Code, of which the producer is the sole author and exclusive owner.<\/p><h4><span>9<\/span>Terms of use<\/h4><p>The information made available to the Customer is an original production and the exclusive and entire property of MIXDATA; it is provided &#8220;as is&#8221; without any guarantee, or any legal force or enforceability against third parties. The Customer processes and interprets the Information under their own responsibility. MIXDATA exercises all the due diligence required by the practices of the profession to keep its databases up to date and to provide accurate Information; the Information may contain a certain margin of error. The end user undertakes to make strictly personal and private use of this information, and under no circumstances to build files intended in particular for hire or (re)sale, or to (re)distribute this information to third parties whether for a fee or even free of charge.<\/p><p>In the event of a sale carried out by an intermediary Agency or address Broker, they are explicitly prohibited from accessing the information delivered to the Customer. The Customer is the sole final recipient of the Information. The intermediary Agency or address Broker undertakes to bring these Terms of sale to the attention of the final Customer, by having them sign them.<\/p><p>It is strictly prohibited to use robots, scraping tools, agents or AI platforms, or any computer program allowing the direct or automated reading and extraction of data contained in the Mixdata platform.<\/p><h4><span>10<\/span>Governing law and jurisdiction<\/h4><p>The Subscription and these Terms of sale are subject to French law.
